Terms of Service

- PLEASE READ THIS AGREEMENT CAREFULLY TO ENSURE THAT YOU UNDERSTAND EACH PROVISION. THIS AGREEMENT CONTAINS A MANDATORY INDIVIDUAL ARBITRATION AND CLASS ACTION/JURY TRIAL WAIVER PROVISION THAT REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS.
- Blackspektro Solutions Pvt Ltd ("Blackspektro," "we," "us," or "our") provides a platform and related services (the "Service" or "Services") to enable clients ("Clients") to create, manage, and deploy various software solutions, including mobile and web applications ("Apps"), as well as related support, hosting, and integration services. Clients may make these Apps available to their customers ("End Users") for use.
- By accessing or using our Services, downloading an App, or registering with us, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must discontinue the use of our Services immediately.
1. Services
1.1 Blackspektro provides a range of Services, including but not limited to
1.2. Development and deployment of software solutions.
1.3. Hosting, maintenance, and support services.
1.4. Integration with third-party platforms and hardware devices ('Devices').
1.5. Access to our cloud-based platform ('Blackspektro Cloud').
The Order Form together with these terms and conditions (“General Terms and Conditions”) and the Data Protection Addendum (defined below) constitute the entire agreement between Intervue and the Customer in respect of the subject matter hereof. Unless defined otherwise under the Order Form, all terms and phrases used herein shall have such meaning as provided below:
2. Registration
2.1 To use our Services, you must register for an account. By registering, you agree to the following:
2.2. You are at least 18 years of age and capable of forming a legally binding contract.
2.3. You have the authority to bind the legal entity (if applicable) associated with your account.
2.4. You consent to be contacted via email, SMS, text messaging, or push notifications regarding our Services.
2.5. You grant us permission to access and use your account information, including data, content, and materials uploaded or transmitted through the Services.

3. Devices
You are solely responsible for the Devices used in connection with our Services. You agree to:
2.1 Comply with all applicable laws and regulations.
2.2. Ensure that your Devices do not violate third-party rights, including intellectual property rights.
2.3. Display a privacy policy on your Devices that discloses the collection, use, and distribution of personal information in accordance with our Privacy Policy.
2.4.Blackspektro reserves the right to refuse or restrict the use of our Services with any Device at our sole discretion.
4. Acceptable Use Policy
You agree not to use the Services for any unlawful or prohibited purposes, including but not limited to:
3.1 Violating intellectual property rights.
3.2. Transmitting harmful, offensive, or illegal content.
3.3. Engaging in spamming, phishing, or other malicious activities.
3.4.Interfering with the proper functioning of the Services.
3.5.Blackspektro reserves the right to remove or disable access to any content or Device that violates these Terms.
5. Ownership and Intellectual Property
As between you and Blackspektro, Blackspektro owns all rights, title, and interest in and to the Services, including all intellectual property rights. You retain ownership of your content and Devices but grant us a license to use, modify, and distribute your content as necessary to provide the Services.
6. Payment and Refunds
You agree not to use the Services for any unlawful or prohibited purposes, including but not limited to:
6.1 You are responsible for paying all fees associated with your use of the Services.
6.2. Fees are non-refundable unless otherwise stated in these Terms or a separate agreement.
6.3. Prices are subject to change with 30 days' notice.
7. Termination
You may cancel your subscription at any time by following the instructions in your account settings or contacting us at info@blackspektro.com. Blackspektro reserves the right to terminate your access to the Services for any reason, including violation of these Terms.
8. Arbitration and Dispute Resolution
Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the [insert arbitration authority]. You and Blackspektro waive the right to a jury trial or class action.
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED 'AS IS' WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. BLACKSPEKTRO DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability
IN NO EVENT SHALL BLACKSPEKTRO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO THE USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE PREVIOUS 12 MONTHS.
11. Governing Law
These Terms shall be governed by the laws of [insert jurisdiction], without regard to its conflict of laws principles.
12. Changes to These Terms
Blackspektro reserves the right to modify these Terms at any time. Changes will not apply retroactively and will become effective upon posting. Your continued use of the Services constitutes acceptance of the revised Terms.
